By accessing or using AdIntellect ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

AdIntellect is an AI-powered platform that helps e-commerce businesses create Facebook and Instagram ad creatives. The Service includes:

  • AI-generated customer personas from reviews and comments
  • Strategic marketing angle generation
  • Ad creative generation (copy and images)
  • Direct publishing to Meta ad accounts
  • Competitor ad analysis
  • Performance tracking and analytics

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription and Payments

4.1 Pricing

The Service offers various subscription plans. Prices are subject to change with 30 days' notice to existing subscribers.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed securely through Stripe.

4.3 Free Trial

New users receive a 14-day free trial. No credit card is required to start. Your subscription will begin after the trial ends if you choose to continue.

4.4 Refunds

We offer a 30-day money-back guarantee for new subscribers. Refund requests must be submitted within 30 days of your first payment.

4.5 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. No partial refunds are provided for mid-cycle cancellations.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Create ads that violate Meta's advertising policies
  • Generate content that is misleading, defamatory, or harmful
  • Attempt to reverse engineer or hack the Service
  • Share your account credentials with unauthorized users
  • Use automated scripts to access the Service without permission
  • Resell or redistribute the Service without authorization

6. Third-Party Integrations

6.1 Meta/Facebook

By connecting your Meta ad account, you authorize AdIntellect to access and manage your advertising assets. You are responsible for compliance with Meta's terms of service and advertising policies.

6.2 Shopify

By connecting your Shopify store, you authorize AdIntellect to access your product data and customer reviews. You remain responsible for your store's compliance with Shopify's terms of service.

7. Intellectual Property

7.1 Our Content

The Service, including its design, features, and technology, is owned by AdIntellect and protected by intellectual property laws.

7.2 Your Content

You retain ownership of your product data, images, and business information. You grant us a license to use this content to provide the Service.

7.3 Generated Content

Ad creatives generated through our Service are yours to use. You are responsible for ensuring generated content does not infringe third-party rights.

8. AI-Generated Content Disclaimer

Our AI generates content based on your inputs and data. While we strive for quality, you are responsible for reviewing and approving all generated content before publishing. We do not guarantee that AI-generated content will:

  • Achieve specific advertising results
  • Comply with all advertising regulations in all jurisdictions
  • Be free from all errors or inaccuracies

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADINTELLECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AdIntellect and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
